Terms of Use

These Terms of Use (“Terms”) govern access to and use of RepX, the related websites (including getrepx.com), and associated services (together, the “Service”). The Service is operated by The Simple App Inc., doing business as Simple Interface (“Simple Interface,” “we,” “us,” or “our”).

By creating an account, verifying a phone number, or using RepX, you agree to these Terms. If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.

1. The Service

RepX is a recruiting and field-team product. It may include account access via phone one-time passcodes (“OTP”), team and pipeline tools, contact and recruiting records, in-app messaging, GIF search and sharing, company branding, and related features we make available from time to time. Features may change as the product develops.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with the consent of a parent or legal guardian who agrees to these Terms. You must be able to form a binding contract and must not be prohibited from using the Service under applicable law.

3. Accounts and phone OTP

Accounts are created and authenticated with a phone number and an SMS OTP. You agree to:

• Provide a phone number you control and keep it accurate and current.
• Keep OTP codes confidential and not share them with anyone.
• Accept responsibility for activity that occurs through your account and phone number.
• Notify us promptly at david@thesimpleapp.io if you believe your account or phone number has been compromised.

Standard carrier message and data rates may apply to OTP messages. We may refuse, suspend, or reclaim an account if we cannot verify your phone number, detect abuse, or believe the account is being used in violation of these Terms.

4. Acceptable use

You will not, and will not allow others to:

• Use the Service for unlawful, fraudulent, harassing, or abusive purposes, including spam, phishing, or unsolicited recruiting outreach that violates applicable law.
• Upload or share content you do not have the right to use, including other people’s contact information used without a lawful basis.
• Interfere with OTP delivery, attempt to bypass authentication, or probe, scrape, or overload the Service.
• Reverse engineer, copy, or resell the Service except as allowed by law.
• Impersonate another person, misrepresent your affiliation, or manipulate recruiting or reward records.
• Use GIF search or messaging to distribute malware, illegal content, or material that is sexually exploitative of minors.

We may remove content, limit features, or terminate access when we reasonably believe these rules have been broken.

5. Customer content

“Customer Content” means information you or your organization submit to the Service, including account details, recruiting and contact records, messages, images, and chat GIFs you search for or send.

You retain your rights in Customer Content. You grant Simple Interface a worldwide, non-exclusive license to host, process, transmit, and display Customer Content only as needed to operate, secure, and improve the Service and to follow the law. You represent that you have the rights and permissions needed to provide Customer Content, including contacts and recruiting data imported from a device or entered by your team.

GIF results shown in chat are provided by a third-party search provider and remain subject to that provider’s terms and any rights of the original creators. Sending a GIF does not transfer ownership of the underlying media to you or to us.

6. Third-party services

The Service depends on third parties. Those providers process data as described in our Privacy Policy. Current processors include:

• Supabase — database, authentication, and related backend hosting.
• Twilio — SMS delivery of phone OTP codes.
• Apple Push Notification service (APNs) — push notifications.
• KLIPY — GIF search used in chat.
• Brandfetch — company logos and brand marks.

Third-party services are not under our control. Their availability, terms, and privacy practices may change. Deep links into RepX (including invite, event, and channel links on getrepx.com) may open the iOS app when it is installed.

7. Intellectual property

The Service, including its software, design, and trademarks (including RepX and Simple Interface), is owned by The Simple App Inc. or its licensors. These Terms do not grant you any ownership interest. You may not use our marks without prior written permission.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that OTP delivery, push notifications, GIF search, branding lookups, or recruiting workflows will be uninterrupted, accurate, or error-free. You are responsible for how your organization uses contact and recruiting data.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIMPLE INTERFACE AND ITS DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100). Some jurisdictions do not allow certain limitations; in those places, our liability is limited to the fullest extent permitted by law.

10. Indemnity

You will defend and indemnify Simple Interface against claims, damages, and expenses (including reasonable attorneys’ fees) arising from your Customer Content, your use of the Service, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access immediately if you breach these Terms, if required by law, or if we discontinue the Service. After termination, the license to use the Service ends. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnity, and governing law) will survive.

We may delete or deactivate accounts that remain unverified or unused for an extended period. Customer Content may be deleted in accordance with our Privacy Policy and ordinary backup cycles.

12. Changes

We may update these Terms from time to time. The “Last updated” date will change when we do. Continued use of the Service after an update becomes effective constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

13. Governing law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law rules. Exclusive venue for disputes that are not subject to a mandatory consumer protection forum lies in the state or federal courts located in Delaware, except where applicable law requires otherwise.
